LogChimp Merchant of Record Purchase & Refund Policy

Effective From: January 27, 2026

1. Scope and Applicability

The LogChimp Merchant of Record Purchase & Refund Policy (“Policy”) applies only to purchases of LogChimp subscriptions where payment is processed by a third-party payment provider authorized by Shinkly Private Limited to act as the merchant of record for processing payments, collecting taxes, issuing invoices, and handling refunds on behalf of Shinkly, including but not limited to Paddle, and Dodo Payments.

Where a Merchant of Record is used:

  • The MoR acts as the legal seller of record for the transaction.
  • The MoR is responsible for payment processing, invoicing, tax collection, and refunds.

This Policy does not apply to:

  • Payments made directly to Shinkly Private Limited using a non-Merchant of Record payment processor, or
  • Purchases made through resellers, distributors, or marketplaces.

For all non-MoR transactions, including payments processed directly by Shinkly Private Limited via standard payment processors, the refund, cancellation, and payment terms set forth in the LogChimp Self-Managed Software Subscription Agreement ("Subscription Agreement") shall apply exclusively.

2. Fourteen (14) Day Refund Right

Where required by the policies of the applicable Merchant of Record, Customers may request a refund within fourteen (14) days from the date of the initial subscription payment ("Refund Period").

The refund right under this Policy:

This refund right applies only to the initial purchase of a Subscription and does not apply to:

  • subscription renewals or recurring charges;

  • upgrades, add-ons, additional licenses, or usage-based fees; or

  • Applies only to the initial subscription fee paid,

  • Does not apply to usage-based charges, metered usage, professional services, taxes, duties, or other non-refundable fees as determined by the MoR.

Refund eligibility and approval are subject to the Merchant of Record’s applicable rules and verification processes.

3. Refund Request and Processing

All refund requests under this Policy must be:

  • Submitted directly through the Merchant of Record, and
  • Processed in accordance with the MoR’s refund procedures and timelines.

Refunds, if approved:

  • Will be issued by the Merchant of Record, and
  • Will be credited to the original payment method used for the transaction.

Shinkly Private Limited does not directly process refunds for MoR-processed payments and does not control the timing of refund settlement once approved by the MoR.

4. Effect of Refund

Upon confirmation of a refund under this Policy:

  • The applicable subscription shall be deemed terminated, and
  • The Customer’s right to access and use LogChimp under the refunded order shall immediately cease.

No continued access, credits, or future entitlements shall survive a refunded transaction.

5. No Additional Refund Rights

Except as expressly set forth in this Policy, no other refunds, credits, or cancellations shall be available for purchases processed by a Merchant of Record.

6. Relationship to Main Agreement

This Policy is incorporated by reference into the Subscription Agreement solely with respect to transactions processed by a Merchant of Record.

In the event of a conflict between this Policy and the Subscription Agreement:

  • This Policy shall prevail only for MoR-processed payments, and
  • The Subscription Agreement shall continue to govern all other aspects of the Customer’s use of LogChimp.
